Amendment to $117,500,000 Senior Asset-Based Revolving Credit Facility

April 9, 2010 - William Blair & Company acted as Financial Advisor to John B. Sanfilippo & Son, Inc. ("Sanfilippo" or the "Company") on an amendment to its existing $117,500,000 senior asset-based revolving credit facility, which William Blair originally helped put in place in February 2008. Working extensively with existing lenders, William Blair assisted the Company in successfully modifying the credit agreement to permit acquisitions, subject to certain limitations. The amendment also increased the Company's borrowing availability during seasonal months in which the Company purchases most of its inventory and made other improvements to the borrowing base. The modifications integrated key operating and strategic considerations and are expected to preserve greater flexibility for the Company into the future.

Founded in Chicago, Illinois in 1922, John B. Sanfilippo & Son, Inc. is one of the leading processors and marketers of tree nuts and peanuts in the United States. These nuts are sold under a variety of private labels and under the Fisher, Flavor Tree, Sunshine Country, and Texas Pride brand names. The Company also markets and distributes, and in most cases manufactures or processes, a diverse product line of food and snack products, including peanut butter, natural snacks and trail mixes, sunflower seeds, and sesame sticks and other sesame snack products. Sanfilippo sells its products through major distribution channels to approximately 1,150 customers, including food retailers, industrial users for food manufacturing, food service companies, and international customers. Sanfilippo is headquartered in Elgin, Illinois.
