$65,000,000 Add-On



11% Senior Notes Due 2016


May 28, 2010 - William Blair & Company served as a Co-Manager on MDC Partners' recent 144A offering of $65 million in aggregate principal amount of its 11% Senior Notes due 2016. The offering was a reopening of the Company's existing $225 million 11% Senior Notes for which William Blair also served as a Co-Manager in October 2009. The Notes are rated "B2/B+" and the net proceeds were used by the Company to repay the outstanding balance under its senior secured credit facility and for general corporate purposes.
